Please read these Terms of Service ("Terms") carefully before using AI Clip Studio. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
Interpretation and Definitions
Definitions
For the purposes of these Terms:
- Company (referred to as "the Company", "We", "Us", or "Our") refers to Seibert Software Solutions, LLC.
- Service refers to AI Clip Studio, an AI short-form video generation platform accessible at aiclipstudio.com .
- Content refers to prompts, inputs, parameters, configuration, and any generated outputs (including video, audio, captions, and transcripts) processed by the Service.
- Country refers to Tennessee, United States.
- You means the individual or legal entity accessing or using the Service.
Acknowledgment
These are the Terms governing the use of the Service and the agreement that operates between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and our Privacy Policy. By accessing or using the Service, You agree to be bound by these Terms.
You represent that You are at least 13 years of age (or 16 in the European Economic Area) and are of legal age to form a binding contract in your jurisdiction. The Service is not directed at children under 13, and we do not knowingly allow them to use it.
Acceptable Use and Content Policy
AI Clip Studio is a generative AI service. You are solely responsible for the prompts You submit and how You use the outputs. You agree not to use the Service to generate, request, request variations of, upload, post, distribute, or attempt to create any of the following:
- No NSFW, sexual, or adult content. This includes pornography, nudity, sexually explicit or sexually suggestive content, fetish content, or any content intended to sexualize any person.
- Zero tolerance for CSAM. Any content that sexualizes, exploits, or endangers minors is strictly prohibited. We will permanently ban the account, preserve evidence, and report to the National Center for Missing & Exploited Children (NCMEC) and to law enforcement as required by law.
- No illegal content. Nothing that violates U.S. federal law, Tennessee law, or the laws of Your jurisdiction.
- No content depicting, impersonating, or emulating real people. This includes celebrities, public figures, politicians, influencers, private individuals, and minors. No deepfakes, no voice cloning of real people, no misuse of name, image, or likeness, and no attempts to generate content that could reasonably be confused with a real, identifiable person.
- No hate speech, harassment, or violent extremism. No content that attacks, threatens, dehumanizes, or incites violence against any person or group, and no content that promotes, glorifies, or recruits for terrorism or extremist organizations.
- No harm-facilitating content. No content that promotes or instructs self-harm, suicide, eating disorders, dangerous activities, weapons manufacturing, or the creation or acquisition of illicit drugs.
- No fraud, scams, or deception. No disinformation, election manipulation, impersonation, phishing, fraudulent advertising, or other materially deceptive content.
- No infringement. No content that infringes intellectual property rights, trademarks, trade dress, or publicity rights. Do not impersonate brands or claim affiliation You do not have.
- No circumvention. Do not attempt to jailbreak, bypass, or obfuscate our safety filters, including by using coded language, indirect prompts, roleplay framing, or external tools to produce any content prohibited above.
- No abuse of the Service. No scraping, reverse-engineering, overloading our infrastructure, reselling raw API access, or using the Service to build a competing model.
Prompt Logging, Review, and Safety
To keep the Service safe and legal, all prompts, inputs, parameters, and generated outputs are logged and may be reviewed by automated systems and, where appropriate, by our staff. Prompts that match or resemble prohibited content as described in the Acceptable Use section will be flagged in our system and retained for security, enforcement, and legal-compliance purposes. Flagged content, account information, and related logs may be disclosed to law enforcement or other authorities where we reasonably believe disclosure is required by law or necessary to prevent imminent harm.
Enforcement and Termination
Any attempt to generate NSFW, illegal, CSAM, real-person likeness, or other content prohibited by these Terms — whether the generation succeeds or is blocked — will result in immediate and permanent termination of Your account , forfeiture of any remaining credits without refund, and, where applicable, referral to law enforcement. We reserve the right, in our sole discretion, to:
- Suspend or permanently ban Your account without prior notice.
- Refuse service to You in the future and block You from creating new accounts (including via alternate emails, payment methods, or devices).
- Delete Content generated by You and preserve evidence for legal and compliance purposes.
- Report violations to Stripe, payment processors, hosting providers, and relevant authorities.
Credits consumed while producing violating Content are non-refundable. Banned accounts are not entitled to any refund of purchased credits or subscription fees. See our Refund Policy for more details.
User Responsibility and Indemnification
You represent and warrant that (a) You have all rights, licenses, consents, and permissions necessary for the prompts and inputs You submit, (b) Your use of the Service and any generated Content complies with all applicable laws and these Terms, and (c) You will review outputs before publishing and will not rely on them as factually accurate without independent verification. You agree to indemnify, defend, and hold harmless the Company and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your prompts, Your use of any outputs, or Your violation of these Terms.
Ownership and License of Generated Content
Subject to these Terms, Your payment in good standing, and applicable law, You own the generated video outputs You produce using the Service and may use them for personal or commercial purposes. The Company does not claim ownership of Your outputs.
You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transmit, and display Your prompts and outputs solely to: (i) operate, provide, and maintain the Service (including Your dashboard history and downloads), (ii) detect, investigate, and prevent abuse, fraud, and violations of these Terms, (iii) comply with legal obligations and respond to lawful requests, (iv) improve the safety, security, and reliability of the Service, and (v) defend the Company in disputes. You acknowledge that AI-generated content may not be copyrightable in some jurisdictions.
AI Limitations and "As Is" Nature of Outputs
The Service uses artificial intelligence. Outputs may be inaccurate, incomplete, offensive, biased, or unexpected, and the same prompt may produce different results. You understand and accept these limitations. Outputs are provided for Your review — You are solely responsible for any Content You choose to publish or distribute.
Billing and Credits
Paid plans are billed monthly through Stripe. Each billing cycle adds Your plan's credits to Your balance. Unused credits roll over. Used credits are non-refundable. See our Refund Policy for details on cancellations, upgrades, downgrades, and chargebacks.
Third-Party Services
The Service relies on third-party providers for AI inference, storage, authentication, and payments (for example, OpenAI, ElevenLabs, fal.ai, Cloudflare, and Stripe). Your use of the Service is also subject to the terms and policies of those providers. We are not responsible for the availability, content, or practices of third-party services.
Limitation of Liability
To the maximum extent permitted by law, the Company and its suppliers shall not be liable for any special, incidental, indirect, or consequential damages whatsoever (including loss of profits, loss of data, business interruption, or personal injury) arising out of or in any way related to Your use of or inability to use the Service, even if the Company has been advised of the possibility of such damages. The Company's entire liability and Your exclusive remedy under these Terms shall be limited to the greater of (a) the amount actually paid by You to the Company in the twelve months preceding the claim, or (b) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to You. In those jurisdictions, the Company's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Company makes no representation that the Service will meet Your requirements, achieve any intended results, be compatible with any other software, operate without interruption, meet any performance or reliability standards, or be error-free.
Governing Law
The laws of the State of Tennessee, United States, excluding its conflicts-of-law rules, govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Dispute Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at [email protected].
For European Union (EU) Users
If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country, and (ii) You are not listed on any U.S. government list of prohibited or restricted parties.
Severability and Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. The failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to the new terms taking effect. By continuing to access or use the Service after revisions become effective, You agree to be bound by the revised Terms.
